By accessing or using any services provided by MedFabric, including the MedFabric API, website, documentation, and related tools (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
MedFabric provides healthcare provider data infrastructure via API. The Service aggregates publicly available data from government sources, including but not limited to the CMS National Plan and Provider Enumeration System (NPPES), state medical boards, the Office of Inspector General List of Excluded Individuals/Entities (OIG LEIE), and the CMS Provider Enrollment, Chain, and Ownership System (PECOS).
MedFabric is NOT a Credentials Verification Organization (CVO) and does not perform primary source verification as defined by the National Committee for Quality Assurance (NCQA) or similar accrediting bodies. The data provided through the Service is aggregated from publicly available government registries and is provided “as-is.” Users requiring primary source verification should engage a licensed CVO.
To access the Service, you must register for an API key. API keys are issued to individual users or organizations and are non-transferable. You are solely responsible for maintaining the confidentiality of your API key and for all activities that occur under your account. You must immediately notify MedFabric of any unauthorized use of your API key.
MedFabric reserves the right to revoke, suspend, or limit API keys at any time for violations of these Terms, suspected abuse, or at MedFabric's sole discretion with reasonable notice.
The Service may be used for the following purposes:
Users must comply with all applicable federal, state, and local laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA) where applicable, state privacy laws, and anti-discrimination laws.
You may NOT use the Service for:
MedFabric aggregates data from publicly available government sources. While we employ reasonable efforts to ensure data accuracy, freshness, and completeness, we make NO WARRANTIES, EXPRESS OR IMPLIED, regarding the completeness, accuracy, reliability, timeliness, or suitability of the data for any particular purpose.
Users should not rely solely on MedFabric data for clinical decisions, credentialing determinations, or any decision that may materially affect patient care or provider employment. The data_quality_score and quality_flags provided in API responses are advisory signals intended to inform data consumers about potential data quality issues. They are not guarantees of data accuracy. Always verify critical information against primary sources.
API access is subject to rate limits based on your subscription tier. Rate limits are designed to ensure fair access and system stability for all users. Excessive use, abuse, or deliberate circumvention of rate limits (including but not limited to using multiple API keys to exceed aggregate limits) may result in temporary throttling, suspension, or termination of your API access.
The MedFabric brand, trademarks, API design, documentation, quality scoring algorithms, compliance determination logic, data matching algorithms, and all other proprietary technology are the exclusive property of MedFabric and are protected by applicable intellectual property laws. The underlying government data sourced from NPPES, OIG LEIE, CMS PECOS, and state medical boards is in the public domain and is not claimed as proprietary by MedFabric. You may not reverse-engineer, decompile, or otherwise attempt to derive the proprietary scoring or matching algorithms used by the Service.
Paid subscription plans are billed monthly or annually, as selected at the time of purchase. All fees are non-refundable except as required by applicable law. Refunds are not provided for partial months or unused API calls. MedFabric reserves the right to change pricing with no less than thirty (30) days' prior written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDFABRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER MEDFABRIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MEDFABRIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO MEDFABRIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation of liability applies to, without limitation: data inaccuracies or incompleteness, service interruptions or downtime, API response errors, data staleness, and any reliance on quality scores or compliance determinations provided by the Service.
You agree to indemnify, defend, and hold harmless MedFabric, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including healthcare regulations; or (d) any claim by a third party arising from your use of the data obtained through the Service.
Either party may terminate these Terms with thirty (30) days' written notice to the other party. MedFabric may terminate or suspend your access to the Service immediately, without prior notice, for material violations of these Terms, including but not limited to prohibited use, rate limit circumvention, or non-payment. Upon termination, your API key will be revoked and you must cease all use of the Service. Sections 6, 8, 10, 11, and 14 shall survive termination.
MedFabric reserves the right to modify these Terms at any time. We will provide no less than thirty (30) days' notice of material changes via email to the address associated with your API key account or through a prominent notice on the MedFabric website or API dashboard. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of California, and the parties hereby consent to the personal jurisdiction and venue of such courts.
